Terms & EULA

Please read these Terms of Service ("Terms", "ToS") and the End User License Agreement ("EULA") carefully before using the software provided by HziTools ("us", "we", or "our"). By purchasing, installing, or using the software, you agree to be bound by these Terms.

1. General Agreement

HziTools provides software for audio production. All sales are processed by our Merchant of Record, Paddle.com. By purchasing our software, you also agree to Paddle's terms and conditions.

2. License Grant and Usage

A. License Type

We grant you a non-exclusive, non-transferable license to use the software for personal or commercial audio production.

B. Device Limit

You are permitted to activate the software on up to five (5) personal devices simultaneously.

C. Restrictions

You may not decompile, reverse engineer, disassemble, or attempt to derive the source code of the software. You may not rent, lease, lend, sell, or sublicense the software to third parties.

3. Activation and Hardware-ID

A. Online Activation

The software requires a one-time internet connection for activation.

B. Hardware Binding

To enforce the 5-device limit, the software generates a unique Hardware-ID (HWID) based on your computer’s components. This ID is transmitted to our servers (hosted by Cloudflare) during activation.

C. Data Privacy

The handling of your data during activation is governed by our Privacy Policy.

4. Refunds and "Trial" Policy

A. Digital Goods

Due to the nature of digital software, all sales are final once a license key has been issued and/or activated.

B. Evaluation

We encourage users to evaluate the software (via demo versions or videos/descriptions provided) before making a purchase.

5. Limitation of Liability and "As-Is" Warranty

A. "As-Is" Provision

The software is provided "AS IS" and "WITH ALL FAULTS". HziTools makes no warranties, express or implied, regarding the performance, merchantability, or fitness for a particular purpose of the software.

B. No Liability for Damages

To the maximum extent permitted by applicable law, HziTools shall not be liable for any damages whatsoever (including, without limitation, damages for loss of profits, business interruption, loss of information, or project data loss) arising out of the use of or inability to use this software, even if HziTools has been advised of the possibility of such damages.

6. Updates and Support

We may from time to time provide updates or bug fixes for the software. However, we are not obligated to provide any maintenance, technical support, or updates, except where required by law.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Germany. The place of jurisdiction is Munich, Germany.

8. Changes to Terms

We reserve the right to modify these terms at any time. Your continued use of the software following any changes constitutes your acceptance of the new Terms.
